Terms of service

These terms are an agreement between Wispot ("Wispot", "we", "us") and the business or person who creates a Wispot account ("you", the "operator"). By creating an account or using the service, you agree to them. If you use Wispot for a company, you confirm you may bind it to these terms.
1. The service
Wispot is software for selling and managing Wi-Fi access. It includes the operator dashboard, Wi-Fi (captive portal) pages, integrations with payment and messaging providers, and tools that work with compatible routers. You provide your own internet connection, routers, access points and payment provider accounts.
2. Your account
- Give accurate information and keep it up to date. You must verify your email address and phone number before using features that move money, add people or message customers.
- Keep your sign-in details secure and use two-factor sign-in where we require it. You are responsible for activity on your account and your team members' accounts.
- Tell us promptly at [email protected] if you suspect unauthorised access.
3. Free trial, fees and billing
- New accounts get a 21-day free trial of every feature. No card is needed.
- After the trial, each location is billed either monthly (₦15,000 per location) or pay as you go (₦30 per hour the location's gateway is online, at least ₦2,500 for a location that came online in the month, and never more than the monthly price), as described on our pricing page. Prices exclude VAT where applicable.
- Invoices are issued on the 1st of each month for the previous month and are due within 7 days. There is a 3-day grace period at the end of the trial.
- If an invoice is unpaid after it is due, we may pause selling on your locations until it is paid. Your data is kept.
- We may change prices with at least 30 days' notice by email. The change applies from your next billing period.
- Fees already paid are not refundable, except where the law requires or we say otherwise in writing.
4. Payments from your customers
Your customers pay into your own payment provider account. Wispot does not hold, receive or settle your customers' money and is not a payment service provider. Your relationship with your payment provider, including its fees, settlement, chargebacks and refunds, is between you and that provider. We do not take a percentage of your Wi-Fi sales.
5. Your responsibilities
You agree to:
- comply with the law when selling internet access, including any requirements of the Nigerian Communications Commission (NCC) and your internet provider's terms;
- set fair, clear terms for your customers and honour the plans you sell;
- keep your equipment secured and review setup scripts before running them on your routers;
- act as the data controller for your customers' personal data and give them the notices the law requires (our privacy policy describes how we process it on your behalf); and
- not use Wispot for anything illegal, fraudulent or harmful, to send spam, to infringe others' rights, or to interfere with or reverse-engineer the service.
6. Messaging and content
You are responsible for the content of announcements, Wi-Fi page text, ads and other material you publish through Wispot, and for having a lawful basis to message your customers. SMS and WhatsApp messages sent with your own provider accounts are billed to you by those providers.
7. Data protection
We process your customers' personal data only on your instructions and to provide the service, under appropriate confidentiality and security measures, and we help you respond to requests from your customers and the regulator. Details are in our privacy policy. On request we will sign a data processing agreement.
8. Availability and support
We work to keep Wispot available and secure but do not guarantee it will be uninterrupted or error-free. Planned maintenance will be announced where practical. Your routers keep existing sessions running during short interruptions, but new sign-ins may not work until service resumes. Support is provided by email on working days.
9. Suspension and termination
- You can close your account at any time. Fees for periods already used remain payable.
- We may suspend or close an account that breaches these terms, puts other users or our systems at risk, or has unpaid fees, with notice where reasonably possible.
- After closure we keep data as described in our privacy policy, then delete or anonymise it. You can download your customer and payment data at any time from Settings → Your data, including before you close.
10. Intellectual property
We own Wispot, including its software, design and documentation. We grant you a limited, non-exclusive, non-transferable right to use it during your subscription. You keep all rights in your business content and data, and allow us to use them only to provide the service.
11. Warranties and liability
- The service is provided "as is" to the extent the law allows. We do not promise that it will meet every requirement or that results (such as revenue) will be achieved.
- Neither party is liable for indirect or consequential losses, lost profits or lost data that could have been prevented by reasonable backups.
- Our total liability for any claims in any 12-month period is limited to the fees you paid us in those 12 months.
- Nothing in these terms limits liability that cannot be limited by law, including for fraud.
12. Indemnity
You will defend and compensate us against claims by third parties arising from your breach of these terms, your equipment or network, or the Wi-Fi service you sell to your customers.
13. Changes to these terms
We may update these terms. We will give at least 30 days' notice by email of material changes. Continuing to use Wispot after they take effect means you accept them.
14. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have jurisdiction, but we will first try to resolve any dispute informally.
